A Letter from Ryan Wuerch and Steve Elfman
October 15, 2007
Good morning,
We're very excited to share news that Motricity just announced the signing of a definitive agreement to acquire the mobile services business unit of InfoSpace, Inc.
We're confident that this transaction will offer tremendous value to you, our customers. Motricity is now a single source solution for mobile operators and media companies alike - offering a full range of services with our integrated, scaleable Fuel platform.
We're combining two of the strongest companies in the industry to create the premier provider of mobile infrastructure. Between us, we have unparalleled experience in mobile platform development and systems integration, powering mobile storefronts, search, portals and community services for the market's leading carriers and media companies.
As customers, you are our most important partners. We will focus on ensuring that the acquisition enhances the value that we deliver to you. For you this means more benefits as you grow your business - we will be delivering world-class technology with a proven ability to scale and an increased focus on innovation. Our expanded industry-leading solutions will have fewer points of contacts and we will be identifying and delivering best practices and insights from our collective experience powering top brands.
We will work closely and communicate often with you so that the transition process is smooth and the end result is an even stronger unified platform with the highest quality managed services solutions available.
The transaction is expected to close in the next 90 days after completion of regulatory approvals and other customary closing conditions. But, transition planning will begin immediately. Customers can expect for it to be "business as usual," with no interruption to operations or customer service, with the benefits of the acquisition being realized by customers over the coming months.
The Motricity headquarters will remain in Durham, North Carolina with a large base of the InfoSpace Mobile employees continuing to work from the Bellevue, Washington office. The acquisition expands Motricity's international presence by adding offices in the United Kingdom, Paris and the Netherlands.
Thank you for your continued support and confidence. We'll be reaching out to you in the coming days to talk more about this transaction and what it means for your business. If you have any questions in the meantime, please do not hesitate to call us.
Thank you,
Ryan Wuerch, Chairman & CEO, Motricity
Steve Elfman, Executive Vice President, InfoSpace Mobile Division
